Structure

Transaction Size:

Sage Capital Partners, L.P. invests in transactions ranging in size from $10 to $75 million, with larger investments being syndicated among SCP affiliates.

Investment Structure:

SCP co-invests with management teams to acquire entire companies, invest in newly created securities, or buyout existing shareholders. SCP also considers privately negotiated investments in public companies.

Ownership:

SCP assumes either a majority or minority position in companies; however, in making minority investments, SCP structures acceptable shareholder agreements.

Use of Proceeds:

Asset or stock purchases, capital for expansion, or recapitalizations.

Objective:

Capital appreciation.

Timing:

Three to seven year holding period.

Level of Participation:

The principals of SCP are active investors. They take board seats, assist with key management recruitment, work on corporate finance activities, execute mergers and acquisitions, and develop strategic partnerships.

Management Participation:

SCP generally requires management teams to co-invest. All management teams have the opportunity to earn additional ownership via performance-based incentives.
